1. Introduction

This Service Provider Agreement ("Agreement") is entered into between eBuddy (operated by EBUDDY PTE. LTD., UEN 202210770E, a company incorporated in Singapore, hereinafter "eBuddy", "we", "us", or "our") and you, the individual registering and operating as a service provider on the eBuddy platform (the "Provider", "you", or "your").

By completing the "Be an eBuddy" onboarding flow on ebuddy.gg or the eBuddy mobile application and submitting your service provider profile for activation, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, together with our Terms of Service (ebuddy.gg/terms), Privacy Policy, Multimedia Policy, and Child Safety Protection Policy.

This Agreement governs the relationship between eBuddy and Providers ("Members" as defined in the Terms of Service) and supplements the general Terms of Service. In the event of any conflict between this Agreement and the general Terms of Service in matters specifically relating to provider relationships, this Agreement shall prevail.

2. Relationship of the Parties

2.1 Independent Contractor Status

You are engaged as an independent contractor and not as an employee, agent, partner, or joint venturer of eBuddy. Nothing in this Agreement shall be construed to create an employment relationship, partnership, joint venture, or agency relationship between you and eBuddy.

As an independent contractor, you:

  • Retain full control over how, when, where, and with whom you provide gaming services
  • Set your own service offerings, descriptions, game preferences, and availability
  • Are not entitled to employee benefits, including but not limited to leave, medical coverage, CPF contributions (where applicable), bonuses, or insurance
  • Are solely responsible for your own taxes, including income tax, GST (if applicable), and any other statutory contributions in your jurisdiction
  • May provide similar gaming or coaching services on other platforms, subject to applicable laws and the conduct provisions of this Agreement

2.2 eBuddy's Role as Platform

eBuddy operates a technology platform that enables Providers to offer online gaming sessions, esports coaching, and gaming entertainment services to clients ("Clients"). eBuddy is not a party to the gaming service contract between Providers and Clients. Specifically:

  • eBuddy does not provide gaming services itself
  • eBuddy does not direct or supervise how Providers deliver services
  • eBuddy acts as a limited payment collection agent on behalf of Providers, collecting payments from Clients and remitting Provider earnings net of applicable fees in accordance with this Agreement

3. Provider Onboarding and Eligibility

3.1 Onboarding Requirements

To operate as a Provider, you must complete the "Be an eBuddy" onboarding flow, which includes:

  • Identity verification through valid government-issued identification
  • Phone number verification (virtual numbers are not accepted)
  • Profile creation including display name, biography, gaming credentials, and verified content
  • Acceptance of this Agreement and other applicable policies
  • Provision of accurate and current bank account or payment account information for payouts
  • Demonstration of gaming skill or experience for games you offer to coach (where applicable)

3.2 Eligibility Criteria

To be eligible as a Provider, you must:

  • Be at least eighteen (18) years of age and the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be subject to any legal restriction that would prevent you from providing services
  • Comply with all applicable laws of your jurisdiction
  • Maintain accurate identity and contact information at all times
  • Not be a sanctioned individual under any applicable sanctions regime

eBuddy reserves the right to refuse or revoke Provider status at our sole discretion, including in cases of suspected fraud, identity misrepresentation, skill misrepresentation, or terms violations.

3.3 Know-Your-Customer (KYC) Verification

Prior to your first withdrawal of credits to cash, you are required to complete a Know-Your-Customer (KYC) verification process consisting of:

  • Upload of a clear, valid government-issued photo identification (passport, national identity card, or driver's licence)
  • Upload of a selfie photograph holding the same identification document
  • Confirmation of your full legal name, date of birth, nationality, and residential address as displayed on the identification

eBuddy may use third-party identity verification services to validate submitted documents. KYC information is collected, processed, and stored in accordance with our Privacy Policy and applicable data protection laws including Singapore's Personal Data Protection Act (PDPA).

eBuddy may, at any time, request updated KYC information or additional verification documents to comply with anti-money-laundering (AML) and counter-terrorism financing (CTF) obligations. Failure to provide requested information may result in suspension of withdrawals or account termination.

3.4 Anti-Money Laundering and Counter-Terrorism Financing

You acknowledge and agree to comply with eBuddy's anti-money-laundering and counter-terrorism financing policies. You shall not:

  • Use the eBuddy platform to launder proceeds of criminal activity
  • Use the eBuddy platform to finance terrorism or any prohibited activity
  • Structure transactions to avoid regulatory reporting thresholds
  • Provide false information to circumvent KYC or AML checks

eBuddy reserves the right to report suspicious transactions to relevant authorities including the Singapore Police Force's Suspicious Transaction Reporting Office (STRO), in accordance with applicable law.

4. Service Offerings

4.1 Service Cards

You may create service offerings on your Provider profile ("Service Cards") representing distinct gaming services you offer. Each Service Card may include:

  • Game title and platform
  • Service type (duo play, coaching, ranked support, casual gaming, esports entertainment)
  • Rank or skill level (must be accurate and verifiable)
  • Pricing in credits
  • Service-specific content (gameplay clips, screenshots)
  • Duration and availability

You are responsible for the accuracy of all information on your Service Cards. Misrepresentation of skill rank, game familiarity, or experience may result in profile suspension.

4.2 Permissible Services

Permissible services include but are not limited to:

  • Online gaming sessions across supported game titles
  • Esports coaching and skill development
  • Co-op and duo gameplay sessions (casual or competitive)
  • Gaming-related entertainment (commentary, watch-along sessions)
  • In-game guidance and tutorial sessions

4.3 Prohibited Services

You must NOT offer, advertise, or provide services involving:

  • Sexual services, escort services, or any sexually explicit content
  • Romantic or escort services presented as gaming services
  • Services involving any person under eighteen (18) years of age
  • Account boosting through account sharing where prohibited by the game's terms of service
  • Services that violate the terms of service of the game platform being played
  • Services that violate applicable laws in your jurisdiction or the Client's jurisdiction
  • Gambling, gambling facilitation, real-money trading of in-game items where prohibited, or money laundering
  • Services intended to obtain Client contact information for off-platform transactions
  • Any activity prohibited under Section 6 of the general Terms of Service

Violation of this clause is grounds for immediate account termination and may result in legal action and reporting to relevant authorities.

4.4 Gaming Service Specifics

You acknowledge that:

  • Match outcomes, in-game results, rank progression, and performance variance are inherent to competitive gameplay and cannot be guaranteed
  • Refunds will not be issued for subjective dissatisfaction with gameplay outcomes or your performance variance during normal gameplay
  • You must deliver the service as described on your Service Card; substantial deviation may entitle Clients to refunds

5. Credits, Commission, Fees, and Payments

5.1 Credit System

eBuddy operates on a credit-based payment system:

  • Base credit value: 1 Credit = SGD 1.00
  • Clients purchase credits through approved payment processors and use credits to book Provider services
  • Promotional credits, bonus credits, and discounted credit packs may be issued at eBuddy's discretion; the base credit value of 1 Credit = SGD 1.00 governs Provider earnings calculations
  • All Provider earnings are denominated in credits and converted to fiat currency upon withdrawal in accordance with Section 5.5

5.2 Payment Processors

Client payments are processed through eBuddy's approved payment processors, which may include:

  • Stripe (card payments, web purchases)
  • PayPal (web purchases)
  • Apple In-App Purchase (iOS mobile application purchases)
  • Google Play Billing (Android mobile application purchases)
  • Other approved payment processors as may be added from time to time

The list of approved payment processors is maintained at eBuddy's discretion and may be updated without notice. Where Client payments are processed through Apple In-App Purchase or Google Play Billing, the respective platform's revenue share (typically 15% to 30%) is borne by eBuddy and does not affect the Provider's commission structure under Section 5.3.

5.3 Platform Commission

eBuddy charges a commission of 25% on each completed transaction. For every booking value paid by a Client, you will earn 75% of the booking value as your gross earnings, denominated in credits, subject to the withdrawal fees in Section 5.4.

Right to amend commission: eBuddy reserves the right to amend the platform commission rate from time to time. Material changes to the commission rate will be communicated to active Providers with at least thirty (30) days' written notice via in-app notification or email. Continued use of the platform after the effective date of the revised commission constitutes acceptance. If you do not agree with a revised commission, your sole remedy is to terminate this Agreement and close your account in accordance with Section 9.1.

5.4 Withdrawal Fees

When you withdraw credits from your eBuddy account to cash, eBuddy applies the following fees, which cover payment processing, currency conversion, payout infrastructure costs, and platform maintenance:

  • 25% of the withdrawal amount, plus
  • A fixed per-transaction fee as published in your Provider dashboard

The current withdrawal fee structure is published in your Provider dashboard and may be updated with reasonable notice.

5.5 Withdrawal Method and Currency Support

5.5.1 Primary Withdrawal Method

Withdrawals are processed primarily as bank transfers or eWallet transfers to a payout destination registered in your Provider profile. eBuddy may route payouts through one or more licensed third-party payout providers and may change providers from time to time without notice, provided the supported currencies and countries set out in Section 5.5.2 are maintained or expanded.

5.5.2 Supported Currencies and Countries

eBuddy supports payouts in the currencies and to the countries that are commonly available through major international bank transfer networks (covering most major fiat currencies including SGD, USD, EUR, GBP, AUD, JPY, MYR, IDR, PHP, THB, INR, and others, and the majority of countries served by SWIFT and regional payment networks). The exact list of currencies and countries available to you at any given time depends on what our payout providers can settle into your jurisdiction.

If our primary payout provider is unable to support your preferred currency or country, eBuddy will make commercially reasonable efforts to arrange an alternative method (for example, an alternative bank wire route, a regional payment network, or another approved payout rail). Alternative methods may have longer processing times than the standard route. To request an alternative, contact eBuddy support at hello@ebuddy.gg with your full name, registered account email, withdrawal amount, and preferred destination details, and we will respond with available options and applicable timelines.

5.5.3 Maximum Withdrawal

The maximum withdrawal per single transaction is 500 Credits (equivalent to SGD 500.00 at the base credit rate). If you wish to withdraw a larger amount, you may submit multiple withdrawal requests in accordance with this limit. The maximum withdrawal limit is subject to change at eBuddy's discretion with reasonable notice published on the platform.

5.5.4 Foreign Exchange

Where withdrawals are denominated in a currency other than Singapore Dollars, the exchange rate applied will be the rate offered by the payout provider at the time of the withdrawal request. eBuddy is not responsible for foreign exchange variations or for any fees imposed by your bank, eWallet, or other payment provider upon receipt of payouts.

5.5.5 Matters Beyond Our Control

Once a withdrawal has been successfully submitted to the payout provider, the funds leave eBuddy's direct control. eBuddy is not responsible for, and shall not be liable for, any loss, delay, deduction, rejection, or non-receipt of funds caused by matters outside the platform, including but not limited to:

  • Delays, holds, or rejections by your bank, eWallet provider, intermediary correspondent banks, or any payout provider
  • Incorrect, outdated, or incomplete bank account, eWallet, or beneficiary details provided by you
  • Compliance, sanctions, or anti-money-laundering checks performed by your bank, eWallet provider, or any intermediary
  • Foreign exchange fluctuations, FX spreads, or conversion fees applied by your bank, eWallet provider, or any intermediary
  • Local banking regulations, currency controls, public holidays, weekends, or system outages in the destination country
  • Force majeure events including but not limited to natural disasters, war, civil unrest, network outages, or regulatory action

Your sole remedy in such cases is to work with the receiving bank, eWallet provider, or intermediary to trace or recover the funds. eBuddy will, on a good-faith and best-efforts basis, provide reasonable transaction details (such as a payment reference) to assist with the trace, but is under no obligation to refund, re-issue, or otherwise compensate you for funds delayed or lost outside the platform.

5.6 Payment Flow

The payment flow for each transaction is:

  • Client purchases credits via an approved payment processor (Stripe, PayPal, Apple IAP, Google Play Billing, or other)
  • Client uses credits to book your gaming service
  • Upon service completion or expiry of dispute period, credits net of platform commission are credited to your provider balance
  • You may request a withdrawal of accumulated credits subject to KYC completion (Section 3.3) and the maximum withdrawal limit (Section 5.5.3)
  • eBuddy processes the withdrawal as a bank or eWallet transfer via an approved payout provider, applying the withdrawal fees in Section 5.4

5.7 Payout Timing

Withdrawal requests are processed within 3-7 business days from the platform's side for standard bank or eWallet transfers, subject to:

  • Successful KYC verification of the Provider
  • No active disputes on the funds being withdrawn
  • Compliance with anti-money-laundering and know-your-customer requirements
  • Operational availability of payout rails

Alternative withdrawal methods may take longer; processing times will be communicated in advance. The 3-7 business-day window measures the time between your request and our payout provider receiving the instruction; the time taken for funds to actually appear in your receiving bank or eWallet account is determined by that institution and is outside our control (see Section 5.5.5).

5.8 Tax Responsibilities

You are solely responsible for:

  • Declaring your earnings to relevant tax authorities in your jurisdiction
  • Paying applicable income tax, GST, VAT, or other taxes
  • Maintaining your own records of earnings for tax purposes

eBuddy may provide earnings statements upon request but does not withhold taxes on your behalf.

5.9 Refunds and Chargebacks

Where a Client requests a refund and the refund is approved by eBuddy in accordance with the refund policy in Section 7.1 of the general Terms of Service:

  • The refunded amount, including the platform commission, will be deducted from your provider balance
  • If your provider balance is insufficient, future earnings will offset the deficit
  • Repeated refunds or chargebacks may result in account review or termination

6. Provider Obligations

6.1 Quality and Professionalism

You agree to:

  • Provide gaming services with professionalism, courtesy, and integrity
  • Deliver services consistent with your Service Card descriptions
  • Maintain reasonable response times to Client inquiries
  • Honour confirmed bookings except in cases of legitimate cancellation
  • Maintain accurate and up-to-date profile information including current skill ranks
  • Maintain a stable internet connection and appropriate gaming setup for the services you offer

6.2 Identity and Authenticity

You represent and warrant that:

  • All information you provide during onboarding and KYC is accurate, truthful, and current
  • Your gaming credentials (rank, skill level, experience) are genuine
  • All content on your profile is your own or properly licensed
  • You are not impersonating any other person, entity, or professional gamer
  • You will maintain only one Provider account

6.3 Conduct Standards

You must comply with all conduct standards set out in Section 6 of the general Terms of Service, including but not limited to prohibitions against:

  • Harassment, abuse, toxic behaviour, or discrimination during gameplay
  • Sexual or sexually explicit conduct in any form
  • Engaging with minors in any inappropriate manner
  • Solicitation of off-platform transactions
  • Cheating, hacking, or using unauthorized third-party software in games
  • Sharing or requesting confidential personal information inappropriately
  • Fraudulent or potentially fraudulent activity

6.4 Off-Platform Transactions

You agree NOT to:

  • Solicit Clients to transact outside the eBuddy platform
  • Provide personal contact information (phone, social media, payment details, Discord, etc.) prior to a booking being completed on-platform
  • Accept payment for eBuddy-originated services through any channel other than the eBuddy platform

Violation of this clause undermines the platform and may result in account termination and forfeiture of pending earnings.

6.5 Confidentiality

You agree to maintain the confidentiality of Client information accessed through the platform. You must not disclose, share, or use Client personal information for any purpose other than fulfilling the booked service.

6.6 Child Safety

You acknowledge and agree to abide by eBuddy's zero-tolerance Child Safety Protection Policy (Section 6B of the general Terms of Service). Any conduct involving minors in an inappropriate manner, including but not limited to providing services to users known or reasonably believed to be minors, soliciting personal information from minors, or any conduct that constitutes Child Sexual Abuse and Exploitation (CSAE), will result in immediate account termination and reporting to law enforcement.

7. eBuddy's Obligations

eBuddy agrees to:

  • Provide and maintain the technical platform infrastructure including the mobile application and web platform
  • Process payments and remit Provider earnings in accordance with this Agreement
  • Make commercially reasonable efforts to maintain platform availability
  • Provide customer support to Providers through our designated support channels
  • Investigate disputes in good faith and apply consistent standards
  • Notify Providers of material changes to this Agreement, including changes to commission rates with at least 30 days' notice
  • Protect Provider personal data, including KYC documentation, in accordance with our Privacy Policy and applicable data protection laws

eBuddy does not guarantee:

  • A minimum number of bookings or level of earnings
  • Continuous, uninterrupted platform availability
  • Compatibility with all gaming platforms or game updates
  • That all Provider accounts will remain active indefinitely

8. Content License

By uploading photographs, videos, gameplay clips, descriptions, or other content to the platform ("Provider Content"), you grant eBuddy a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, display, and distribute the Provider Content for purposes of:

  • Operating and improving the platform
  • Marketing and promoting the platform, including on social media and advertising
  • Displaying your profile to Clients

This license terminates when you remove the content or when your account is terminated, except that eBuddy may retain archived copies as required for legal compliance or as set out in the Privacy Policy.

Public profile content is governed by Section 6A of the general Terms of Service.

9. Suspension and Termination

9.1 Termination by Provider

You may terminate this Agreement at any time by:

  • Closing your Provider account through the in-app settings
  • Withdrawing any remaining provider balance (subject to applicable fees, KYC verification, and the maximum withdrawal limit)

Upon termination, you must complete any confirmed bookings or coordinate with affected Clients for refunds.

9.2 Termination by eBuddy

eBuddy may suspend or terminate your Provider account, with or without notice, in cases including but not limited to:

  • Violation of this Agreement, the general Terms of Service, or applicable law
  • Identity fraud, skill misrepresentation, or KYC fraud
  • Solicitation of off-platform transactions
  • Pattern of Client complaints or disputes
  • Chargebacks or fraudulent payment activity
  • Violation of game platform terms of service that materially affects service delivery
  • Inactivity for more than twelve (12) consecutive months
  • Conduct harmful to the platform's reputation or other users
  • Any conduct constituting Child Sexual Abuse and Exploitation (CSAE)
  • Suspected money laundering, terrorism financing, or sanctions violations

9.3 Effects of Termination

Upon termination:

  • Earned but unpaid balances will be paid out subject to standard KYC verification and a minimum holding period of fourteen (14) days for dispute resolution
  • In cases of termination for cause (fraud, terms violation, illegal activity, child safety violation, AML concern), eBuddy may withhold pending balances pending investigation and may report to relevant authorities as required by law
  • You may not register a new account for a period of one (1) month after voluntary account closure
  • Your Provider Content may be removed from the platform, subject to data retention requirements

10. Disputes

10.1 Provider-Client Disputes

Disputes between Providers and Clients are governed by the dispute resolution procedure in Section 7.1 of the general Terms of Service. eBuddy acts as a neutral mediator and may make final determinations regarding refunds, in-platform credits, or other resolution mechanisms.

10.2 Provider-eBuddy Disputes

Any dispute between you and eBuddy arising out of or in connection with this Agreement shall be:

  • Resolved first through good-faith negotiation
  • If unresolved, submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with the SIAC Rules
  • Governed by the laws of Singapore

11. Indemnification

You agree to indemnify, defend, and hold harmless eBuddy, EBUDDY PTE. LTD., and our respective officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your provision of services
  • Your breach of this Agreement
  • Your violation of any applicable law or third-party rights
  • Any Provider Content you upload
  • Any tax liability you fail to discharge
  • Any violation of game platform terms of service in connection with your services

12. Limitation of Liability

To the fullest extent permitted by applicable law:

  • eBuddy's aggregate liability to you under this Agreement shall not exceed the greater of (i) the total commissions paid by you to eBuddy in the twelve (12) months preceding the claim, or (ii) SGD 100
  • eBuddy shall not be liable for indirect, consequential, exemplary, incidental, special, punitive, or enhanced damages
  • eBuddy shall not be liable for loss of profits, loss of business, loss of goodwill, or loss of data

13. Changes to This Agreement

eBuddy may amend this Agreement from time to time. Material changes will be notified to active Providers via:

  • In-app notification or email to your registered address
  • Update of the "Last Updated" date at the top of this Agreement
  • Continued use of the platform after the effective date of changes constitutes acceptance

Material changes to commission rates require thirty (30) days' notice as set out in Section 5.3. Other changes take effect on the date specified in the notice.

If you do not agree with material changes, your sole remedy is to terminate this Agreement and close your account in accordance with Section 9.1.

14. Governing Law and Jurisdiction

This Agreement is governed by the laws of Singapore. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore, subject to the arbitration provisions in Section 10.2.

15. Severability

If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This Agreement, together with the general Terms of Service, Privacy Policy, Child Safety Protection Policy, and other policies referenced herein, constitutes the entire agreement between you and eBuddy regarding your operation as a Provider and supersedes all prior agreements, understandings, or representations.

By completing the "Be an eBuddy" onboarding flow and activating your Provider profile on eBuddy, you confirm that you have read, understood, and agreed to be bound by this Service Provider Agreement.
